In-band management uses the server's own operating system and network: you connect with Remote Desktop or SSH. That works until the OS hangs, fails to boot, or the network settings are wrong. Out-of-band management gives you a separate path that works regardless of the operating system's state, so you can power-cycle a server, watch it boot and fix it without walking into the data center.
